These Terms of Service ("Terms") constitute a legal agreement between you ("User," "you," or "your") and RentoDesk, Inc. ("Company," "we," "our," or "us"). By accessing or using the RentoDesk platform and services (the "Service"), you agree to be bound by these Terms. If you do not agree with any part of these Terms, you are not permitted to use the Service.

1. Acceptance of Terms

By clicking "I Accept," creating an account, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms apply to all users, including landlords, property managers, tenants, vendors, and any other persons accessing the Service.

If you are accessing the Service on behalf of a company or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Description of Service

RentoDesk is a cloud-based rental property management platform designed to help landlords, property managers, and tenants manage properties, leases, maintenance, finances, and communications. The Service includes:

  • Property and lease management tools
  • Tenant and vendor communication features
  • Maintenance request triage and tracking
  • Financial analysis and reporting
  • AI-powered recommendations and automation (subject to Section 4 disclaimers)
  • Document storage and organization
  • Payment processing and rent collection

The Service is provided on an "as is" basis. We may modify, suspend, or discontinue features or the Service in whole or in part at any time. We will provide reasonable notice of material changes.

3. Account Registration and Responsibilities

3.1 Account Creation

To use the Service, you must create an account by providing your name, email address, password, and other required information. You must be at least 18 years old and have the legal capacity to enter into a binding agreement.

3.2 Accuracy of Information

You agree to provide accurate, current, and complete information during registration and to update your information as needed. You are responsible for the accuracy of all information you provide.

3.3 Account Security

You are responsible for maintaining the confidentiality of your password and account credentials. You agree not to share your login information with others. You are liable for all activity that occurs under your account. You must notify us immediately of any unauthorized access or use of your account.

3.4 Roles and Permissions

RentoDesk supports multiple user roles with different permissions (e.g., Owner, Property Manager, Tenant, Vendor). You agree to use the Service only in accordance with the permissions assigned to your role. Account owners are responsible for managing user permissions and ensuring that other users comply with these Terms.

4. Free Tier and Paid Subscriptions

4.1 Free Tier

RentoDesk offers a limited free tier with basic property and lease management functionality. Free accounts are subject to usage limits and feature restrictions. Free features and limits may change at any time.

4.2 Paid Subscriptions

Paid subscriptions unlock advanced features. Subscription plans, pricing, and terms are detailed on our website and in your subscription agreement. Billing is monthly or annual, depending on your selected plan.

4.3 Billing and Payment

You agree to pay all fees and charges incurred under your account. Payment is due in advance. You are responsible for providing accurate payment information and keeping it current. We use third-party payment processors to process payments. All sales are final; there are no refunds except as required by law.

4.4 Renewal and Cancellation

Paid subscriptions renew automatically at the end of each billing period unless you cancel. You can cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. There are no refunds for partial months or unused subscription periods.

4.5 Price Changes

We may change subscription prices with 30 days' notice. Price changes apply to new subscriptions and existing subscriptions at their next renewal date. Continuing to use the Service after a price change constitutes your acceptance of the new pricing.

5. AI Features Disclaimers

This section contains critical disclaimers for RentoDesk's AI-powered features. Please read carefully.

5.1 No Professional Advice

AI-generated recommendations, analyses, suggestions, and content on the RentoDesk platform ARE NOT professional advice. AI features are tools to assist property management but do not constitute legal, financial, tax, accounting, medical, or professional consultation. You are solely responsible for making all decisions regarding your properties and tenants.

We strongly recommend consulting qualified professionals (attorneys, accountants, tax advisors, engineers, contractors) before making significant decisions based on AI recommendations.

5.2 Maintenance Triage Disclaimers

The AI maintenance triage feature classifies tenant-reported issues by urgency and category. However:

  • AI triage is NOT a substitute for professional property inspection or engineering assessment.
  • AI may misclassify the urgency of an issue. A "routine" classification does not mean the issue can be safely ignored.
  • You are responsible for ensuring all maintenance issues are addressed promptly and safely, in compliance with local housing codes and tenant rights laws.
  • If you suspect a safety issue (gas leak, electrical hazard, structural damage, mold), do not rely on AI classification. Take immediate action and consult a professional.
  • RentoDesk is not responsible for property damage, tenant injury, or legal liability resulting from delayed or inadequate maintenance response.

5.3 Financial Analysis Disclaimers

The AI financial analysis feature calculates metrics like Net Operating Income (NOI), Debt Service Coverage Ratio (DSCR), cap rate, and cash flow projections. These analyses:

  • Are NOT investment, financial, or tax advice.
  • Are based on data you provide, which may be incomplete or inaccurate.
  • Use simplified assumptions and do not account for all factors (hidden costs, market changes, tenant defaults, vacancy rates).
  • Should not be relied upon for investment decisions, refinancing, or major financial commitments.
  • Should be reviewed by a qualified accountant or financial advisor before making investment decisions.

5.4 Rent Pricing Recommendations

The AI rent pricing feature recommends rental rates based on market data and your property characteristics. However:

  • Pricing recommendations are NOT guaranteed to reflect fair market value.
  • Recommendations do not account for local, state, or federal rent control laws.
  • You are solely responsible for ensuring your pricing decisions comply with fair housing laws and all applicable regulations.
  • You must not use pricing recommendations in any way that discriminates based on protected characteristics.
  • RentoDesk is not responsible for fair housing violations or legal consequences resulting from your pricing decisions.

5.5 Compliance Monitoring Disclaimers

The AI compliance monitoring feature alerts you to potential regulatory issues. However:

  • Compliance monitoring does NOT guarantee compliance with applicable laws.
  • Laws vary significantly by state, county, and local jurisdiction. The AI may not account for all local requirements.
  • You are solely responsible for ensuring full compliance with fair housing laws, habitability standards, disclosure requirements, and all other applicable regulations.
  • We recommend consulting a qualified real estate attorney for compliance guidance, especially if you own properties in multiple states.

5.6 Lease Clause Disclaimers

The AI lease clause analysis feature reviews lease documents for enforceability and compliance. However:

  • AI lease review is NOT legal advice and does not constitute the practice of law.
  • AI may not identify all problematic clauses or enforceability issues.
  • Lease enforceability depends on state law, case law, and specific circumstances. AI cannot predict how a court will rule.
  • Any lease agreements created through RentoDesk are provided as templates only. You are responsible for ensuring all lease terms are legal, compliant, and appropriate for your jurisdiction.
  • We strongly recommend having leases reviewed by a licensed attorney before signing.

5.7 Limitation on AI Liability

RentoDesk makes no warranty that AI-generated content is accurate, timely, or complete. We are not liable for any errors, omissions, inaccuracies, or consequences resulting from reliance on AI features, including but not limited to property damage, financial loss, legal liability, fines, or injury.

6. Intellectual Property

6.1 RentoDesk IP

All content on the RentoDesk platform, including software, interfaces, text, graphics, logos, icons, and AI-generated recommendations, is owned by or licensed to RentoDesk and protected by copyright, trademark, and other intellectual property laws. You do not own any of this intellectual property.

6.2 Your Data

You retain ownership of data you upload or create through the Service (e.g., property information, lease documents, financial records, communications). However, you grant RentoDesk a perpetual, worldwide, non-exclusive license to use your data to provide and improve the Service, including training AI models (subject to your privacy preferences).

6.3 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or business property management purposes. You may not sublicense, resell, or provide the Service to third parties without express permission.

6.4 Restrictions

You may not:

  • Reverse engineer, decompile, or attempt to derive the source code of the Service
  • Remove or obscure copyright, trademark, or other proprietary notices
  • Use the Service to build competing products or services
  • Copy, reproduce, or distribute the Service or its content without permission

7. Prohibited Uses

You agree not to use the Service:

  • To violate any law, regulation, or third-party right (including fair housing, labor, data privacy, or securities laws)
  • To harass, threaten, defame, or discriminate against any person
  • To upload malware, viruses, or malicious code
  • To attempt to gain unauthorized access to the Service or other users' accounts
  • To spam, phish, or send unsolicited communications
  • To infringe on intellectual property rights
  • To access or search the Service using bots or automated tools without permission
  • To engage in any fraudulent, illegal, or unethical activity

Violation of these restrictions may result in immediate account suspension and legal action.

8. Limitation of Liability

To the maximum extent permitted by law, RentoDesk, its affiliates, officers, employees, and agents are not liable for any indirect, incidental, special, consequential, punitive, or other damages, including lost profits, lost revenue, lost data, business interruption, or loss of use, even if RentoDesk has been advised of the possibility of such damages.

RentoDesk's total liability to you for any claim arising from or relating to the Service shall not exceed the total amount of fees paid by you to RentoDesk in the 12 months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of liability, so the above limitation may not apply to you. In such cases, our liability is limited to the fullest extent permitted by law.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

RentoDesk makes no warranty that:

  • The Service will be error-free, uninterrupted, or secure
  • AI-generated content will be accurate, complete, or reliable
  • The Service will meet your specific needs or requirements
  • Any defects in the Service will be corrected

You assume all risk and responsibility for use of the Service. If the Service is defective, you assume the cost of all necessary repairs, corrections, or replacement.

10. Indemnification

You agree to indemnify, defend, and hold harmless RentoDesk, its affiliates, officers, employees, agents, and licensors from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any law or third-party right
  • Any content you upload or create through the Service
  • Your property management decisions based on AI recommendations

This indemnification obligation is in addition to and not in lieu of any other remedies available to RentoDesk.

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting us or using the account closure feature in your settings. Upon termination, your right to use the Service ends immediately.

11.2 Termination by RentoDesk

We may suspend or terminate your account and access to the Service immediately, without notice or liability, if:

  • You violate these Terms or any applicable law
  • You engage in fraud, illegal activity, or threatening behavior
  • You fail to pay subscription fees
  • We determine (in our sole discretion) that your continued use poses a risk to the Service or other users

11.3 Effects of Termination

Upon termination, we will delete or anonymize your personal information in accordance with our Privacy Policy. You may request export of your property and financial data within 30 days of termination. After 30 days, we will delete all your data.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating formal proceedings, you and RentoDesk agree to attempt to resolve disputes informally. Contact us at hello@rentodesk.com to discuss any disputes.

12.2 Binding Arbitration

Any dispute, claim, or controversy arising from or relating to these Terms, the Service, or your use of the Service (including contract formation, enforcement, interpretation, tort, and statutory claims) shall be resolved by final and binding arbitration before a single arbitrator, rather than in court.

The arbitration shall be administered by JAMS (Judicial Arbitration and Mediation Services) in accordance with its Streamlined Arbitration Rules and Procedures. The arbitrator shall apply applicable law and may award any relief that would be available in court.

Each party shall bear its own attorney's fees and costs. The arbitration fees shall be split equally unless the arbitrator awards fees to one party.

12.3 Exception: Small Claims Court

Either party may bring an action in small claims court if the claim qualifies for that court's jurisdiction.

12.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. The arbitration shall take place in Wilmington, Delaware, unless both parties agree otherwise.

12.5 Class Action Waiver

You agree not to participate in a class action, class arbitration, or representative action against RentoDesk. All disputes must be resolved on an individual basis.

13. General Provisions

13.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and RentoDesk regarding the Service. All prior negotiations, understandings, and agreements are superseded.

13.2 Amendments

We may amend these Terms at any time by updating them on our website and updating the "Last Updated" date. For material changes, we will provide 30 days' notice. Continuing to use the Service after amendments constitutes your acceptance of the updated Terms.

13.3 Severability

If any provision of these Terms is deemed invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed. The remaining provisions shall remain in full force and effect.

13.4 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative.

13.5 Notices

We may send notices to you via email, phone, text message, or by posting on the Service. You may send notices to us at hello@rentodesk.com. Notices are effective upon receipt.

13.6 Third-Party Beneficiaries

These Terms are for the benefit of you and RentoDesk only. No third party has any rights or claims under these Terms.

13.7 Relationship of Parties

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and RentoDesk. You are an independent user of our Service.

13.8 Assignment

You may not assign or transfer your rights under these Terms without RentoDesk's prior written consent. RentoDesk may assign these Terms or its rights hereunder to any third party without notice.

13.9 Export Control

The Service is subject to U.S. export control laws. You may not access or use the Service if you are subject to U.S. sanctions or located in a sanctioned country.
